COCOLA Terms of Service
These "COCOLA Terms of Service" (these "Terms") set out the conditions of use of the service "COCOLA" (the "Service"), operated by ROLLCAKE Inc. ("we", "us" or "our"), as between us and the customer using the Service ("you"). You shall agree to these Terms and use the Service in accordance with them. If you do not agree to these Terms, you may not use the Service.
Provision of the Service
The Service is a service that allows you to create and purchase photo books and other products (collectively, the "Products") using photographs you select from among those stored on your mobile device (the "Photographs").
For the functions, specifications and other details of the Service, please refer to the descriptions within the Service and on our website relating to the Service.
We may provide all or part of the Service only to customers who satisfy conditions we consider necessary, including age, identity verification, the presence of registered information and any other condition. If you are a minor, please use the Service having obtained the consent of a person with parental authority or another legal representative.
We may refuse your use of the Service where we determine that any of the following applies.
- The information you have provided to us contains a falsehood, an error or an omission
- You have breached these Terms
- You are an anti-social force, or a person having a close relationship with an anti-social force
- Any other case that we determine to be inappropriate
Temporary suspension of the Service
Where we consider it necessary due to maintenance, a fault, an accident, a disaster or any other circumstance, we may temporarily suspend the Service at any time without prior notice to you, and you shall use the Service having accepted this in advance.
Changes to and termination of the Service
Where we consider it necessary due to laws and regulations, the tax system, economic conditions, social conditions, demand for the Service, our management environment or any other circumstance, we may at any time change all or part of the content of the Service, or terminate its provision, without prior notice to you, and you shall use the Service having accepted this in advance.
Your responsibilities
- You shall exercise your own judgement in using the Service and bear responsibility for the results. Please note that any disadvantage arising from your mis-operation or misuse of the Service is to be borne by you.
- Where we suffer any damage arising from your use of the Service or your breach of these Terms, you shall be liable to compensate us for such damage.
Accounts
- You must strictly manage, on your own responsibility, the ID, password and similar credentials for the Service account created by the method we prescribe (the "Account"), so that the Account is not used improperly.
- The Account may not be transferred or lent to any third party.
- We may deem any and all acts carried out using your Account to be acts of you personally.
- If there is a risk that your Account is being used improperly by a third party, please contact us immediately and follow our instructions where given.
- If you become unable to log in to your Account because you have lost your password or for any other reason, we will, after confirming by the method we prescribe that the Account is your own, cooperate within a reasonable scope so that you may log in to the Account again. However, this is not a promise that you will be able to log in to the Account again; where your identity cannot be confirmed, or where doing so would impose a burden on or interfere with our business, we may refuse such cooperation.
- Please note in advance that a deleted Account cannot be restored, regardless of the reason for its deletion, including mis-operation by you.
The Photographs
- Copyright in the Photographs belongs to you (or to the author of the Photographs), and we do not acquire such copyright.
- You grant us permission to use the Photographs within the scope necessary to provide the Service (including, but not limited to, reproducing and adapting the Photographs in order to display them in the Service and on the Products).
- Where a Photograph is the subject of a third party's rights (including, but not limited to, copyright, trademark rights, design rights, portrait rights, publicity rights, privacy rights and trade secrets; "Third-Party Rights"), you shall obtain permission from that third party, at your own cost and responsibility, for us to use the Photograph within the scope necessary to provide the Service.
- You warrant that our use of the Photographs within the scope necessary to provide the Service does not infringe any Third-Party Rights.
- You are responsible for backing up the Photographs yourself. We bear no obligation to back up the Photographs.
The Products
- You may order Products from within the Service. Please note in advance that, once an order is confirmed, cancellation is possible only from your order history and only within three hours of payment; cancellation is not possible after that period has elapsed.
- For the price of the Products, shipping charges, payment methods, delivery timing and similar matters, please check the information displayed within the Service when you place your order. Please also note in advance that we are unable to deliver the Products outside Japan.
- Please note in advance that, where we are unable to deliver a Product due to stock availability or other unavoidable circumstances, we may cancel the order and refund the price of the Product.
- Even where the quality of a Product differs from your expectations, you shall not raise any objection as to the quality of the Product except where it is recognised as an obvious defect.
- You accept in advance that the image quality, resolution, colour and other characteristics of the Photographs you upload to the Service affect the finish of the Products.
- You accept in advance that minor differences may arise between the colour, brightness, layout, margins, trimming position, binding position, appearance on the template and other display shown on your device, and the finish of the Product as actually printed or bound.
- Where an obvious defect is found in a delivered Product, we will exchange the delivered Product for one without a defect, provided that you contact us promptly after delivery (and in any event within 10 days of delivery). (However, where an exchange is not possible due to stock availability or other unavoidable circumstances, we will refund the price of the Product.) Please note in advance that, where you do not contact us within that deadline, we may be unable to provide an exchange or a refund.
Handling of information
We handle your information appropriately in accordance with our Privacy Policy.
Prohibited conduct
- You must not engage in any of the following acts in connection with the Service.
- Acts in breach of these Terms
- Acts in breach of laws and regulations
- Acts harmful to public order or morals
- Providing benefits to, or otherwise cooperating with, anti-social forces
- Acts infringing our or a third party's intellectual property rights, portrait rights, publicity rights, privacy rights, rights to reputation, or any other rights or interests under laws, regulations or contract
- Improperly collecting, disclosing or providing another person's personal information, registered information, usage history information or similar
- Uploading to the Service, and creating or ordering, Photographs containing information that promotes fraud, violence, intimidation, discrimination, prejudice or hatred, or any other unlawful or harmful information
- Abusing the incentive schemes of the Service, such as by improperly obtaining referral benefits through the use of multiple accounts
- Conducting sales or promotion of goods or services, soliciting for an organisation or group, or otherwise seeking to obtain economic benefit in connection with the Service by a method we do not intend
- Intentionally disseminating false information
- Impersonating us, a third party or a fictitious person
- Making unreasonable enquiries of or demands on us or our employees (unnecessarily repeated enquiries, chasing beyond the bounds of common sense, aggressive, insulting or abusive language or conduct, demands for an apology, disciplinary action or compensation without reasonable grounds, and other so-called customer harassment)
- Acts that damage the credit, brand or image of us or of the Service
- Acts that interfere with the servers or network systems of the Service, improperly manipulating the Service using technical means, transmitting computer viruses or other harmful computer programs, or intentionally exploiting a defect in the Service
- Acts that obstruct the operation of the Service or other customers' use of the Service
- Acts that risk falling within any of the preceding items, or that promote such acts
- Any other act that we determine to be inappropriate
- Where we determine that your conduct falls within the prohibited conduct in the preceding paragraph, we may take the following measures without prior notice to you, and you shall raise no objection to this.
- Refusing your use of the Service
- Deleting Photographs you have uploaded to the Service
- Cancelling orders for Products
- Deleting the Account
- Demanding that your conduct falling within the prohibited conduct in the preceding paragraph be enjoined or rectified
- Providing information to investigative authorities, administrative agencies, courts, victims or other third parties
- Any other measure we determine to be necessary and appropriate in order to protect our or a third party's rights and interests
No warranty and our disclaimer of liability
- We make no warranty, express or implied, that the Service is free of defects in fact or in law (including defects relating to safety, reliability, accuracy, completeness, currency, validity, fitness for a particular purpose and security, as well as errors, bugs and infringement of rights).
- Where delay in or impossibility of performance of our obligations arises due to a natural disaster, war, riot, civil disturbance, terrorism, fire, explosion, an epidemic of an infectious disease, the enactment or amendment of laws and regulations, an order, disposition or other measure by a public authority, or any other cause beyond our control, we shall bear no liability for non-performance in respect of it.
- Our liability to compensate for damage caused to you by our non-performance of obligations in relation to the Service, or by a tort committed by us in the course of performing our obligations, is partially excluded save where caused by gross negligence of us, our representative or a person we employ. In such case, we shall bear liability for damages only in respect of direct and ordinary damage actually incurred (excluding indirect damage, special damage, expanded damage, incidental damage, consequential damage and lost profits), and up to a maximum of the price of the Products and other amounts received by us from you in connection with the cause of such damage (or 200 yen where there is no such amount).
Changes to these Terms
We may change these Terms from time to time as necessary. Where we change these Terms, we will implement change procedures appropriate to the content of the change. In the cases set out below, by making the content of the change and the time it takes effect known by an appropriate method, you are deemed to have agreed to the amended Terms pursuant to Article 548-4 of the Civil Code of Japan.
- Where the change conforms to the general interest of customers
- Where the change is not contrary to the purpose of the contract, the change is necessary due to laws and regulations, the tax system, economic conditions, social conditions, demand for the Service, our management environment or any other circumstance, and the content of the change is reasonable
Miscellaneous
- Communications from us to you regarding the Service will be made by email to the email address you have provided to us, by notice on this site, or by any other method we consider appropriate. Enquiries and other communications from you to us regarding the Service are to be made by the method we separately designate.
- Even if any provision of these Terms is invalid or unenforceable for any reason, the other provisions of these Terms shall not thereby become invalid or unenforceable. Where a court holds a provision of these Terms to be invalid or unenforceable, that provision shall be construed as having been modified to the minimum extent necessary for it to be valid and enforceable.
- These Terms are governed by the laws of Japan. Any and all disputes between you and us relating to the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
